Terms of Service

1. Services

Vantage Web Studio provides Shopify development, design, conversion rate optimisation, and related e-commerce consulting services. The specific scope, deliverables, timeline, and pricing for each engagement will be detailed in a separate proposal or service agreement ("Project Agreement"), which shall form part of these Terms.

2. Project Engagement

Upon acceptance of a Project Agreement:

• Both parties agree to the scope, deliverables, and timeline outlined therein
• Any changes to scope must be agreed in writing and may affect pricing and timeline
• Client shall provide all necessary materials, access credentials, and feedback in a timely manner
• Delays in client response may extend project timelines accordingly

3. Payment Terms

Unless otherwise specified in the Project Agreement:

• A non-refundable deposit of 50% is required before work commences
• The remaining balance is due upon project completion, prior to final handover
• All prices are quoted in USD unless otherwise stated
• Late payments may incur interest at 1.5% per month on outstanding balances
• We reserve the right to suspend work on accounts with overdue payments

4. Intellectual Property

Client Ownership: Upon receipt of full payment, you will own all rights to the custom work created specifically for your project, including custom designs, code, and copy.

Agency Rights: We retain the right to use general knowledge, techniques, and skills gained during the project. We also retain the right to showcase completed projects in our portfolio unless otherwise agreed in writing.

Third-Party Assets: Certain components (themes, plugins, stock imagery) may be licensed separately and remain subject to their respective license terms.

5. Revisions and Approvals

Each project phase typically includes up to two rounds of revisions as specified in the Project Agreement. Additional revisions beyond this scope will be quoted separately. Client approval at each milestone constitutes acceptance of work completed to date.

6. Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner. However:

• We do not guarantee specific sales, conversion rates, or business outcomes
• Services are provided "as is" without warranties of merchantability or fitness for a particular purpose
• We are not responsible for third-party platform changes, downtime, or policy modifications

7. Limitation of Liability

To the maximum extent permitted by law, Vantage Web Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid for the specific service giving rise to the claim.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives termination of the agreement and does not apply to information that becomes publicly available through no fault of the receiving party.

9. Termination

Either party may terminate the engagement with written notice. Upon termination, client shall pay for all work completed to date. Deposits are non-refundable. Any unreleased materials remain the property of the agency until full payment is received.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes shall be resolved through good-faith negotiation, and if necessary, through binding arbitration in Karachi, Pakistan.

11. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after such changes constitutes acceptance of the revised Terms.
